Event Terms & Conditions

These Terms & Conditions (“Terms”) govern your registration for, attendance at, and participation in the Event (in-person or virtual), including access to any materials, worksheets, templates, resources, digital tools (including HER AI Strategist®), and community spaces provided before, during, or after the Event.

By registering for, attending, accessing, or participating in the Event, you agree to these Terms. If you do not agree, do not register or participate.

 

1) Eligibility & Participant Requirements

You represent and warrant that:

  • You are at least 18 years old.

  • Any registration information you provide is accurate and current.

  • You will comply with all Event rules, instructions, and safety guidelines.

We reserve the right to refuse registration or remove any attendee at our sole discretion, including for violations of these Terms.

 

2) Registration, Access & Attendance Rules

2.1 Registration

Registration grants one individual, non-transferable right to attend the Event, unless explicitly stated otherwise in writing.

2.2 Virtual Access (if applicable)

If the Event is virtual:

  • Your access link is for your use only.

  • You may not share, sell, transfer, publish, or post the access link or login details.

  • We may use technical measures (including registration matching, device/session monitoring, or access controls) to prevent unauthorized access.

2.3 In-Person Access (if applicable)

If the Event is in-person:

  • You must comply with venue policies and any instructions from staff.

  • We may deny entry or remove any attendee who is disruptive, unsafe, or in violation of these Terms.

2.4 No Guarantee of Results

The Event is educational. We do not guarantee any specific outcomes, revenue, clients, business performance, funding, partnerships, or results.

 

3) Payment, Refunds, Transfers (if applicable)

If the Event is paid, the following applies (and can be modified per Event page terms):

  • All sales are final unless otherwise stated on the Event registration page.

  • If refunds are offered, they will be governed by the refund policy listed on the registration page and incorporated here by reference.

  • We reserve the right to modify Event pricing at any time.

  • If transfers are allowed, they must be approved in writing and completed by a stated deadline.

If the Event is free, no refunds are applicable.

 

4) Event Changes, Cancellations, Force Majeure

We may modify Event dates, format (in-person ↔ virtual), speakers, agenda, content, or duration for any reason.

If the Event is delayed or cancelled due to circumstances outside our control (including weather, natural disasters, illness, venue issues, internet outages, public health issues, travel restrictions, or acts of God), we will determine in our sole discretion whether to:

  • reschedule the Event,

  • switch formats,

  • offer credits,

  • or provide an alternative experience.

We are not responsible for travel expenses, lodging, childcare, lost income, or related costs.

 

5) Code of Conduct (Culture + Safety + Professionalism)

This Event is a professional educational environment. You agree:

  • No harassment, discrimination, hate speech, threats, bullying, doxxing, or aggressive behavior.

  • No disruptive behavior that interferes with teaching, participation, or safety.

  • No unauthorized solicitation or pitching attendees unless expressly permitted.

Enforcement: We may remove you immediately without refund (if paid), revoke access, and/or ban you from future events.

 

6) Intellectual Property, Copyright & Usage Restrictions

6.1 Ownership

All Event content is owned by HFA and/or its licensors, including but not limited to:

  • slide decks, worksheets, workbooks, templates, checklists, frameworks, systems, prompts, scripts, concepts, curriculum structure, and proprietary methods;

  • trademarks and branding (including HER Footprint Academy®, Reclaiming the Chair™, Sustainable Chair Method™, HER AI Strategist™, HER10™ FrameworkYour Healthy Hair Coach® and related marks);

  • recordings, replays (if any), and any supporting materials.

6.2 Limited License (Personal Use Only)

You receive a limited, revocable, non-exclusive, non-transferable license to use Event materials solely for your personal business learning and implementation.

6.3 Prohibited Uses (No Exceptions Without Written Permission)

You may not:

  • record, reproduce, distribute, publish, upload, sell, license, share, or create derivative works from Event content;

  • teach, train, coach, consult, or present our materials as your own;

  • share materials inside paid communities, group chats, courses, memberships, or trainings;

  • use our frameworks, prompts, templates, or language to build your own competing program, curriculum, or “done-for-you” service.

6.4 No Recording / No Screenshots

Unless we explicitly say otherwise in writing:

  • No recording, screen recording, photography of slides, or screenshots of materials.

  • For virtual events: no capturing audio/video via phone, software, or external devices.

  • For in-person events: no recording of teaching segments.

6.5 Enforcement + Remedies

Violations may result in immediate removal, access revocation, and legal action. You agree that unauthorized use may cause irreparable harm and that we may seek injunctive relief, damages, and recovery of attorneys’ fees where permitted by law.

 

7) HER AI Strategist™ Terms (Tool Access + Data + Abuse Protection)

If you are given access to HER AI Strategist™ or any HFA tools:

  • Tool access is limited to the timeframe and scope described (e.g., “event-only access,” “limited feature access,” or “ecosystem access”).

  • You may not reverse engineer, scrape, clone, replicate, resell, sublicense, or provide third-party access to the tool.

  • You may not use outputs to train another AI model, build a competing AI product, or create a “report service” based on our proprietary logic.

  • You agree not to upload sensitive personal data (e.g., medical information, full financial account numbers, SSNs, client confidential records) into the tool.

Outputs: Tool outputs are informational and depend on your inputs. You are responsible for verifying and applying them appropriately.

Monitoring: We reserve the right to monitor usage patterns for abuse, fraud, or violations and to suspend access without notice.

 

8) Confidentiality & Non-Disclosure (Community Protection)

You may be exposed to personal stories, business details, and discussions shared by other attendees.

You agree:

  • Not to share, publish, or disclose other attendees’ private information, identities, screenshots, comments, or business details without explicit written consent.

  • Not to use attendee participation as marketing content without permission.

 

9) Privacy & Data Use

We may collect personal information you provide during registration and participation (name, email, business info, attendance data, survey responses). We may use this information to:

  • deliver the Event,

  • send Event communications,

  • improve programs and tools,

  • create aggregated impact reporting (de-identified where reasonable),

  • and market future events/programs (subject to applicable laws).

10) Photo/Video/Audio Release (In-Person + Virtual)

We may photograph, record, or livestream portions of the Event for educational, marketing, or documentation purposes.

By attending, you grant HFA a perpetual, worldwide, royalty-free license to use your likeness, name, voice, image, and participation in any media, unless you notify us in writing in advance at: [email protected] and we confirm accommodations.

If accommodations are granted, you agree to follow the designated “no-record” or “no-camera” procedures.

 

11) Assumption of Risk (In-Person Events)

You assume all risks associated with attendance, including but not limited to:

  • travel risks,

  • illness exposure,

  • injuries,

  • property loss,

  • and venue-related incidents.

You agree to follow all safety instructions and venue rules.

 

12) Medical, Mental Health, and Professional Disclaimers

The Event may discuss business growth, identity shifts, mindset, emotional patterns, and nervous system regulation concepts, including sessions by guest experts.

You understand and agree:

  • The Event is not medical care, therapy, mental health counseling, legal advice, tax advice, or financial advising.

  • You are responsible for your decisions, actions, and outcomes.

  • If you need professional support, you should consult a licensed provider.

If you experience distress, you should stop participating and seek appropriate support.

 

13) Disclaimer of Warranties

The Event and materials are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.

 

14) Limitation of Liability

To the fullest extent permitted by law:

  • HFA will not be liable for indirect, incidental, special, consequential, or punitive damages.

  • HFA’s total liability for any claim relating to the Event will not exceed the amount you paid for the Event (or $0 if free).

This limitation applies even if we were advised of the possibility of damages.

 

15) Indemnification

You agree to indemnify, defend, and hold harmless HFA, its owners, officers, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • your participation,

  • your violation of these Terms,

  • your misuse of materials/tools,

  • or your infringement of any intellectual property or rights.

 

16) Sponsored Seats + Partner Participation (If Applicable)

If your attendance is sponsored by a partner:

  • Your participation may be subject to additional sponsor terms disclosed at registration.

  • We may share aggregated or de-identified participation metrics for reporting, unless otherwise required by law or disclosed.

Sponsors do not control program content, teaching decisions, or participant outcomes.

 

17) Removal, Suspension, and Access Termination

We may remove you from the Event or terminate access to materials/tools without refund (if paid) if you:

  • violate these Terms,

  • engage in disruptive or harmful conduct,

  • infringe IP,

  • or attempt to circumvent access controls.

 

18) Dispute Resolution, Governing Law, Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms, the Event, or participation therein shall be brought exclusively in the state or federal courts located within the State of Georgia, and the parties hereby consent to the personal jurisdiction and venue of such courts.

This applies regardless of where the Event is held, whether in Georgia or any other state. The parties waive any objection to venue based on forum non conveniens or any similar doctrine.

 

19) Dispute Resolution, Governing Law, and Enforcement

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to this Agreement, the Event, the Program, or any materials, tools, or services provided by HER Footprint Academy® shall be resolved through binding arbitration, except as set forth below.

Arbitration

Arbitration shall be conducted on an individual basis and not as a class action, in accordance with the rules of the American Arbitration Association (AAA), with the arbitration taking place in the State of Georgia. The arbitrator shall have authority to award all remedies available under applicable law.

The parties agree that arbitration is intended to be a cost-effective and efficient alternative to litigation.

Injunctive Relief & Intellectual Property Protection

Notwithstanding the foregoing, HER Footprint Academy® retains the right to seek injunctive or equitable relief in a court of competent jurisdiction located in the State of Georgia to prevent or address unauthorized use, disclosure, reproduction, or infringement of its intellectual property, proprietary frameworks, AI tools (including the HER AI Strategist™), or confidential materials.

Liquidated Damages

You acknowledge that unauthorized use, distribution, replication, or commercialization of HER Footprint Academy® materials, frameworks, tools, or AI-generated outputs would cause harm that is difficult to precisely quantify.

Accordingly, you agree that any such violation shall result in liquidated damages of $10,000 per violation, which represents a reasonable estimate of anticipated damages and is not a penalty, in addition to any injunctive relief, recovery of attorneys’ fees, and other remedies permitted by law.

Venue

To the extent any dispute is not subject to arbitration, the parties agree that exclusive venue shall lie in the state or federal courts located within the State of Georgia, regardless of where the Event is hosted or the participant is located.

 

19) Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

 

20) Entire Agreement + Updates

These Terms constitute the entire agreement between you and HFA regarding the Event and supersede prior communications.

We may update these Terms at any time. Updated Terms will be posted and effective upon posting.
